These Terms of Business apply to services provided by WAV Solutions Ltd.

They should be read together with any quotation, rate card, purchase order, scope of works or other written agreement relating to the project.

2. Our Services

WAV Solutions provides commercial AV and LED engineering services, which may include:

  • AV installation

  • LED installation

  • AV cabling and termination

  • equipment mounting and installation

  • projection systems

  • conferencing and collaboration technology

  • audio installation

  • rack builds

  • testing and commissioning support

  • fault finding

  • maintenance and repairs

  • technical supervision

  • site leadership

  • project-based engineering resource

The exact services included in a project will be defined in the relevant quotation, scope of works or written agreement.

3. Quotations

Quotations are based on the information and scope supplied to WAV Solutions at the time the quotation is prepared.

A quotation will remain valid until the expiry date stated on that quotation.

After that date, WAV Solutions may revise pricing or availability.

A quotation does not guarantee engineer availability until the work has been formally agreed and scheduled.

Additional engineers may be supplied where required, subject to availability.

Quotations are based on the information and scope supplied to WAV Solutions at the time the quotation is prepared.

4. Scope of Work

The quoted price applies only to the work described within the agreed quotation or scope.

Any work requested or required outside the agreed scope may result in additional charges.

This may include:

  • additional installation work

  • additional engineers

  • additional site attendance

  • changes to the project specification

  • additional cabling or termination

  • troubleshooting outside the original scope

  • delays caused by circumstances outside WAV Solutions' control

  • additional testing or commissioning

  • return visits

  • changes requested after work has commenced

Where reasonably possible, WAV Solutions will advise the client where additional charges are likely to arise.

The quoted price applies only to the work described within the agreed quotation or scope.

Any work requested or required outside the agreed scope may result in additional charges.

This may include:

  • additional installation work

  • additional engineers

  • additional site attendance

  • changes to the project specification

  • additional cabling or termination

  • troubleshooting outside the original scope

  • delays caused by circumstances outside WAV Solutions' control

  • return visits

  • changes requested after work has commenced

Where reasonably possible, WAV Solutions will advise the client where additional charges are likely to arise.

5. Labour-Only Services

Unless expressly stated otherwise in writing, WAV Solutions' engineering rates are labour only.

Rates exclude:

  • VAT

  • travel

  • accommodation

  • parking

  • per diems

  • materials

  • equipment

  • tools or specialist kit hire where separately chargeable

Applicable costs will be stated in the quotation, rate card or otherwise agreed with the client.

The current rate card confirms these exclusions.

Unless expressly stated otherwise in writing, WAV Solutions' engineering rates are labour only.

6. Working Day Structure

Unless otherwise agreed:

Full Day

A standard full day covers up to 10 hours door-to-door.

Half Day

A half day covers up to 5 hours, where the project is local to WAV Solutions, within approximately 30 miles, and the half-day arrangement has been agreed in advance.

Overtime

Time exceeding the standard 10-hour day may be charged at the applicable overtime rate.

The current WAV Solutions rate card applies 1.5× pro-rata after 10 hours.

Unless otherwise agreed:

Full Day

A half day covers up to 5 hours, where the project is local to WAV Solutions, within approximately 30 miles, and the half-day arrangement has been agreed in advance.

7. Out-of-Hours and Additional Rates

Where applicable, additional rates may apply for work carried out outside standard working arrangements.

The current 2026/27 rate card provides:

  • Night work: 1.5× standard full-day rate

  • Saturday: 1.5×

  • Sunday and Bank Holiday:

  • Prep, travel day or site survey: £150 where applicable

  • Per diem: £45 where applicable

8. Travel, Accommodation and Expenses

Unless included within the agreed quotation, reasonable project expenses may be charged separately.

These may include:

  • mileage or other travel

  • rail or air travel

  • accommodation

  • parking

  • tolls

  • congestion or clean-air-zone charges

  • per diems

  • other project-specific expenses

Where possible, significant expenses will be agreed in advance.

Unless included within the agreed quotation, reasonable project expenses may be charged separately.

These may include:

  • mileage or other travel

  • parking

  • tolls

  • congestion or clean-air-zone charges

  • per diems

  • other project-specific expenses

Where confirmed engineering resource is cancelled by the client, cancellation charges may apply.

Unless otherwise agreed in writing:

More than 7 days before the agreed start date:
No cancellation charge.

3–7 days before the agreed start date:
50% of the relevant booked labour charge.

Less than 72 hours before the agreed start date:
100% of the relevant booked labour charge.

This reflects WAV Solutions' current rate-card cancellation structure.

11. Site Access and Client Responsibilities

The client is responsible for providing WAV Solutions with reasonable access to the site and the information necessary to complete the agreed work.

This may include:

  • confirmed site access times

  • relevant drawings and specifications

  • equipment schedules

  • safe working areas

  • suitable access equipment where agreed

  • appropriate power and services

  • induction information

  • parking or loading information

  • contact details for relevant site personnel

  • information about known site restrictions or hazards

The client should ensure that the site is reasonably ready for WAV Solutions to undertake the agreed work.

The client is responsible for providing WAV Solutions with reasonable access to the site and the information necessary to complete the agreed work.

This may include:

  • confirmed site access times

  • relevant drawings and specifications

  • equipment schedules

  • safe working areas

  • suitable access equipment where agreed

  • appropriate power and services

  • induction information

  • parking or loading information

  • contact details for relevant site personnel

12. Delays Outside Our Control

WAV Solutions will make reasonable efforts to deliver work according to agreed project dates.

However, WAV Solutions will not be responsible for delays caused by circumstances outside its reasonable control.

These may include:

  • late delivery of equipment

  • unavailable equipment

  • incomplete preceding works

  • restricted site access

  • changes to project programmes

  • instructions from the principal contractor or integrator

  • unsafe working conditions

  • power or network availability

  • third-party contractors

  • manufacturer issues

  • weather

  • transport disruption

  • events beyond our reasonable control

Additional attendance or labour resulting from such delays may be chargeable.

WAV Solutions will make reasonable efforts to deliver work according to agreed project dates.

However, WAV Solutions will not be responsible for delays caused by circumstances outside its reasonable control.

13. Equipment Supplied by Others

WAV Solutions regularly installs equipment supplied or specified by clients, AV integrators, consultants, manufacturers or other contractors.

Unless WAV Solutions has expressly supplied the equipment itself, WAV Solutions is not responsible for:

  • equipment specification

  • product suitability

  • manufacturer defects

  • missing components

  • incorrect quantities

  • compatibility issues that could not reasonably have been identified before installation

WAV Solutions will notify the client where we identify an obvious equipment or specification issue during delivery.

WAV Solutions regularly installs equipment supplied or specified by clients, AV integrators, consultants, manufacturers or other contractors.

Unless WAV Solutions has expressly supplied the equipment itself, WAV Solutions is not responsible for:

  • equipment specification

  • product suitability

  • manufacturer defects

  • missing components

  • incorrect quantities

  • compatibility issues that could not reasonably have been identified before installation

WAV Solutions will notify the client where we identify an obvious equipment or specification issue during delivery.

14. Existing Designs and Specifications

Where WAV Solutions is working to drawings, schedules, designs or specifications produced by another party, responsibility for the underlying system design remains with the organisation responsible for that design unless expressly agreed otherwise.

WAV Solutions will carry out the agreed engineering work with reasonable skill and care based on the information provided.

15. Testing, Commissioning and Handover

Where testing or commissioning forms part of the agreed scope, WAV Solutions will carry out the level of testing stated within the project requirements.

Final system performance may depend on:

  • equipment supplied

  • programming

  • network configuration

  • software

  • third-party commissioning

  • manufacturer configuration

  • work completed by other contractors

Completion of WAV Solutions' installation work does not necessarily mean the complete wider AV system has been fully commissioned unless this forms part of our agreed scope.

Where testing or commissioning forms part of the agreed scope, WAV Solutions will carry out the level of testing stated within the project requirements.

Final system performance may depend on:

  • equipment supplied

  • programming

  • network configuration

  • software

  • third-party commissioning

  • manufacturer configuration

  • work completed by other contractors

Completion of WAV Solutions' installation work does not necessarily mean the complete wider AV system has been fully commissioned unless this forms part of our agreed scope.

16. Fault Finding and Maintenance

Fault-finding work may require investigation before the cause of an issue can be confirmed.

WAV Solutions cannot guarantee that every fault will be diagnosed or repaired within an initial attendance.

Additional attendance, replacement parts, specialist equipment or manufacturer support may be required.

Where possible, WAV Solutions will explain any further work recommended.

Fault-finding work may require investigation before the cause of an issue can be confirmed.

WAV Solutions cannot guarantee that every fault will be diagnosed or repaired within an initial attendance.

17. Project Photography and Portfolio Use

WAV Solutions may photograph or record installation work and completed projects for:

  • project documentation

  • internal records

  • quality assurance

  • website portfolio use

  • case studies

  • social media

  • marketing and promotional material

Where project imagery is used publicly, WAV Solutions will take reasonable steps to protect client and project confidentiality.

This may include digitally removing, obscuring or altering:

  • client logos

  • company branding

  • signage

  • project names

  • location information

  • addresses

  • identifying documentation

  • third-party branding

  • other information capable of identifying the client or project

Images may also be cropped, retouched or otherwise visually amended before publication.

Unless otherwise agreed in writing, WAV Solutions may use anonymised project imagery for portfolio and marketing purposes.

If a client does not consent to anonymised project photographs being used for portfolio or marketing purposes, the client must notify WAV Solutions in writing before work begins.

Any agreed NDA, confidentiality agreement, site photography policy or written client restriction will take precedence over this section.

WAV Solutions will not intentionally publish clearly identifiable images of client employees, contractors or members of the public without an appropriate basis for doing so.

WAV Solutions may photograph or record installation work and completed projects for:

  • project documentation

  • internal records

  • quality assurance

  • website portfolio use

  • case studies

  • social media

We will take reasonable steps to protect confidential information provided in connection with a project.

Where WAV Solutions is subject to a specific:

  • confidentiality agreement

  • restricted-site requirement

  • client photography policy

the terms of that agreement will apply.

WAV Solutions understands that some projects involve confidential client, location or commercial information.

We will take reasonable steps to protect confidential information provided in connection with a project.

Where WAV Solutions is subject to a specific:

  • NDA

  • confidentiality agreement

  • restricted-site requirement

  • client photography policy

the terms of that agreement will apply.

19. Subcontract Engineers and Additional Resource

WAV Solutions may use suitably experienced engineers or subcontractors to deliver work where appropriate.

WAV Solutions may also provide additional engineering resource where requested, subject to availability.

Where WAV Solutions engages engineers as part of its own delivery, we remain responsible for managing the work included within our agreed scope.

20. Health and Safety

WAV Solutions engineers are expected to comply with applicable site health and safety requirements.

Clients and site operators must inform WAV Solutions of any relevant:

  • hazards

  • access restrictions

  • site rules

  • permit requirements

  • induction requirements

  • PPE requirements

  • working-at-height restrictions

WAV Solutions reserves the right to stop or refuse work where conditions are reasonably considered unsafe.

WAV Solutions engineers are expected to comply with applicable site health and safety requirements.

Clients and site operators must inform WAV Solutions of any relevant:

22. Invoicing and Payment

Invoices will be issued in accordance with the quotation, purchase order or commercial arrangement agreed for the project.

Payment terms may vary depending on the client and project. The applicable payment period will therefore be confirmed in the relevant quotation, invoice, purchase order or other written agreement.

Where specific payment terms have been agreed with a client, those terms will apply to that project.

Invoices must be paid in full by the agreed due date.

If there is a genuine query regarding an invoice, the client should contact WAV Solutions as soon as reasonably possible so the matter can be reviewed.

WAV Solutions reserves the right to suspend further work or engineering resource where invoices remain overdue, subject to any applicable contractual arrangements.

WAV Solutions will carry out agreed services with reasonable skill and care.

Nothing in these terms excludes or limits any liability that cannot legally be excluded.

WAV Solutions will not be responsible for losses caused by:

  • inaccurate information supplied by the client or another project party

  • defective equipment supplied by others

  • design errors outside WAV Solutions' scope

  • work carried out by other contractors

  • unauthorised changes made after WAV Solutions' work

  • circumstances outside WAV Solutions' reasonable control

Any project-specific liability requirements contained within a separately agreed contract will take priority.

WAV Solutions will carry out agreed services with reasonable skill and care.

WAV Solutions maintains appropriate business insurance for its commercial AV and LED engineering activities, including £10 million liability insurance cover.

Evidence of insurance can be provided to clients, integrators, contractors or site management where required for a project.

26. Ending a Project

Either party may terminate a project where the other party materially breaches its obligations and fails to remedy the breach within a reasonable period after being notified.

WAV Solutions may also suspend or stop work where:

  • invoices remain unpaid

  • site conditions are unsafe

  • access is repeatedly unavailable

  • the project materially differs from the agreed scope

  • continuation would breach legal or regulatory requirements

Charges remain payable for work already completed and costs already incurred.

Either party may terminate a project where the other party materially breaches its obligations and fails to remedy the breach within a reasonable period after being notified.

WAV Solutions may also suspend or stop work where:

  • invoices remain unpaid

  • site conditions are unsafe

  • access is repeatedly unavailable

  • the project materially differs from the agreed scope

  • continuation would breach legal or regulatory requirements

Charges remain payable for work already completed and costs already incurred.

27. Governing Law

These Terms of Business are governed by the laws of England and Wales.

Any dispute arising from these terms will be subject to the jurisdiction of the courts of England and Wales, unless otherwise required by law.
